Priimal Technologies Inc. is an international technology company operating across two complementary product lines:
• AMI (Advanced Metering Infrastructure): A patented optical reader retrofit device that converts existing analogue electricity meters into smart IoT endpoints. The device installs in under 10 minutes without replacing the meter, enabling utilities to recover Non-Technical Losses (NTL) at a fraction of the cost of a full smart-meter roll-out.
• Managed OT/ICS Cybersecurity: Managed security services and solution designed specifically for Operational Technology and Industrial Control Systems environments in power production, power distribution, and water distribution operators.
Priimal licenses its technology and operating model to local partners who deploy it in exclusive territories under the Priimal brand.
Non-Technical Losses (NTL) — electricity that is generated and distributed but never billed — cost utilities in emerging and developing markets an estimated USD 58 billion annually. NTL arises from meter tampering, illegal connections, billing errors, and metering failures.
The Priimal optical reader attaches to the existing analogue meter face, reads the dials optically, and transmits consumption data over NB-IoT, LTE-M, or LoRaWAN networks. Because the physical meter is not replaced, the utility avoids the capital cost, regulatory complexity, and customer disruption of a conventional smart-meter programme. Typical CapEx savings over full replacement are 55–66%.
Priimal grants exclusive territorial marketing and distribution rights to Territory Partners. Each Partner operates as a sub-licensor of the technology held by third-party Technology Principals.
The Partner model is built around a bespoke financing model with no upfront capex required from the utility.
Priimal is actively recruiting Partners across Africa, Asia, Latin America, the Caribbean, and Central and Eastern Europe. Specific country availability is confirmed during the qualification stage. Territory Partners receive exclusive rights within a defined territory — no two Territory Partners will operate in the same market.
The Territory Partner owns 100% of Priimal [Country] Limited, either directly or through their existing holding structure. Priimal Technologies Inc. is the licensor; it does not hold an equity stake in the local entity at inception.
The agreement governs the relationship between Priimal Technologies Inc. and the Territory Partner. Key terms include:
• Exclusive territory: The Territory Partner has exclusive rights to market and distribute the Priimal product suite within the defined territory.
• Technology licensing: The Partner sub-licenses technology from third-party Technology Principals; Priimal holds the exclusive territorial marketing and distribution rights and sub-licenses these to the Partner.
• Brand standards: The local Partner must operate under the Priimal brand, maintain defined service levels, and comply with brand guidelines.
• Reporting obligations: Monthly operational reports, quarterly financial statements, and annual audited accounts are required.
• Term and renewal: 10-year initial term with 5-year renewal rights subject to performance benchmarks.
The Partner's revenue streams include:
• Deployment and installation fees: Charged to the customer per device deployed.
• Managed service fees: Ongoing device management, data platform operation, and network monitoring fees.
• OT/ICS managed cybersecurity retainer: Monthly or annual contracts with critical infrastructure operators.
